Approve the revised agreement for SS-­604246­-21/PCD -Management and Operations of the Wekiva Golf Club, to SSS Down To Earth OPCO II LLC, dba Down to Earth and authorize the Purchasing and Contracts Division to execute the Agreement. On November 9, 2021, the Board of County Commissioners approved the Single Source Procurement SS-­604246-­21/PCD ­ for Management and Operations of the Wekiva Golf Club to SSS Down To Earth OPCO II LLC, dba Down to Earth, including the form of agreement that was attached to the prior agenda item.

Upon review of the agreement, the Contractor took exception to the termination provision in Section 9(g) of the agreement. Staff conducted negotiations with the Contractor and agreed to revise the agreement to allow the Contractor to terminate with or without cause provided the County receives six (6) month prior notice. This is a material change from what the Board previously approved and it favors the Contractor.  Other revisions to the agreement favorable to the County include requirements for the Contractor to provide additional insurance coverage as indicated in Section 16(c) of the agreement.
