Background:

At the Board’s November 9, 2021 meeting, the Board discussed issues pertaining to a draft contract, remediation costs for the Wekiva Golf Club property and ongoing negotiations regarding whether the Sellers would share in the cost of that remediation. The Board voted to approve purchase of the former Deer Run golf course property and the Wekiva Golf Club property for the then-proposed purchase price of $14,000,000 and staff was asked to continue discussions with the Sellers as to Sellers sharing in the estimated $450,000 cost for assessment, remediation and monitoring required for the Wekiva Golf Club’s maintenance area.

 

Staff was notified on November 30 that the Sellers now agree to share 50% [$225,000] of that cost by reducing the purchase price for the Deer Run property and the Wekiva Golf Club property by that amount, for a total purchase price of $13,775,000. The attached final proposed Contract for Sale and Purchase, which has been signed by the Sellers, provides that the sale is “as is” with the Sellers having no further liability for any remediation or mitigation now or in the future for the golf courses. Also, staff and the Sellers agreed this week to removal from the draft Exhibit A legal description for the Deer Run property being acquired by the County an area known as Parcel B-1 that was included in the Deer Run Boundary Survey legal description. Sellers informed staff on November 30 that they leased Parcel B-1 from the Homeowners Association and do not have title to it. Lastly, the Wekiva Boundary Survey legal description needed for Exhibit B to the Contract for Sale and Purchase was submitted to the County on December 3 and is incorporated into the final Exhibit B.         

Staff Recommendation:

Staff recommends that the Board approve and authorize the Chairman to execute the Contract for Sale and Purchase by and among Golf Enterprises of Central Florida, Inc., Wekiva Golf Club, Inc., and Seminole County, Florida for acquisition of the former Deer Run golf course property and the Wekiva Golf Club property.
